Onboarding with a Registrar and Transfer Agent (RTA) is the foundational step for any company looking to issue securities, achieve dematerialization compliance, and streamline shareholder services. This isn't just a procedural formality; it's a structured process that ensures your company is correctly registered with depositories like NSDL and CDSL.
Based on our Standard Operating Procedure, hereâs how we at Nextgen RTA manage the onboarding and ISIN generation process from start to finish.
Step 1: Document Collection & Initial Review
The entire process begins with gathering your core corporate documents. This step is common for both NSDL and CDSL onboarding.
⢠Connection: We first connect with your company's representative via WhatsApp, email, or our portal to collect the necessary documents.
⢠Verification: Our team reviews every document for accuracy and completeness, immediately informing your representative of any issues or missing information. Key documents include the Board Resolution, MOA/AOA, COI, Net Worth Certificate, Audited Annual Report, and PAN/GST certificates.
Step 2: Depository Registration & Pre-Checks
Once all documents are correct, we proceed to register the application on the depository's secure portal, for instance, with NSDL. Before filling out the application, we perform two crucial pre-checks:
1. ISIN Master List Check: We first check the depository's master list to ensure your company hasn't already been allotted an ISIN.
2. MCA Master Data Download: We download your company's latest Master Data directly from the MCA website to ensure all information we enter is perfectly aligned with official records.
Step 3: Application Data Entry
This is a meticulous process where we fill in your companyâs details on the depository portal. To avoid rejection, it's critical that every field matches the MCA Master Data.
Key fields we verify include your Company Name, CIN, Registered Address, PAN, and GST numbers. We also ensure that board details listed in the Board Resolution match MCA records, including the correct DIN and PAN for all directors and KMPs.
Step 4: Defining the Security & Linking Your RTA
This crucial step tells the depository system the exact details of your shares and formally appoints us as your RTA.
First, we define the security by entering its financial details, like the number of shares and face value. To guarantee accuracy, we verify this information against your Audited Report and any recent PAS-3 filings for new allotments. Next, we officially link your company to us by selecting 'SEBI Registered RTA' in the portal and entering our unique RTA ID IN201177. We then set the 'Type of Connectivity' to 'Electronic' to enable dematerialization services.
Step 5: Final Document Upload & Agreement Execution
Once all data is entered into the portal, we digitally submit the supporting documents. This involves uploading all the verified, DSC-affixed files. We perform final checks on each document, such as ensuring the UDIN is mentioned on certificates and the subscriber sheet is present in the MOA.
After the digital application is submitted and approved by the depository, the final legal step is executing the tripartite agreement. This agreement is a formal contract signed by your company, Nextgen RTA, and the depository (NSDL/CDSL), and it officially activates your demat connectivity.
Step 6: ISIN Allotment & Ongoing Compliance
After the depository approves the application and documents, they allot the ISIN. This unique number unlocks dematerialization and future corporate actions. From here, we enable demat requests and begin the ongoing process of capital reconciliation, including filings like PAS-6 for unlisted public companies.
Conclusion
A structured onboarding process is essential for clean records, quick transfers, and regulatory compliance. At Nextgen Share Registry Pvt Ltd, we manage this entire workflowâfrom document collection to liaising with NSDL/CDSLâto ensure you go live smoothly.
